1. Acceptance of Terms

By accessing or using the Uptech World website, or engaging Uptech World for website development, SEO, graphic design, or software services, you agree to be bound by these Terms & Conditions. If you do not agree with any part of these terms, please do not use this website or our services.

2. Our Services

Uptech World provides website development, WordPress development, ecommerce development, SEO services, graphic design and branding, and business software consultation, implementation, and support. The exact scope, deliverables, timeline, and pricing for any project are agreed separately in writing (e.g. a quotation, proposal, or invoice) before work begins, and those specific terms take precedence over this general page where they differ.

3. Quotations, Payment & Refunds

Quotations provided are estimates based on the information available at the time and may be revised if project requirements change materially during development.

Payment terms (including any advance payment, milestone payments, or full payment before delivery) will be specified in your project proposal or invoice. Work may be paused or final files withheld until agreed payments are received.

All payments made to Uptech World are non-refundable, including advance payments, milestone payments, and payments for services already commenced or delivered, regardless of project outcome, except where required by applicable law.

SEO services specifically require payment in advance for a minimum 3-month engagement period. This reflects the fact that SEO requires sustained, ongoing work over time to produce meaningful results, and is not something billed or delivered as a single one-time task. This advance payment is non-refundable once work has commenced, regardless of ranking or traffic outcomes, which depend on search engine algorithms and other factors outside our direct control (see Limitation of Liability below). After the initial 3-month period, SEO services continue on a month-to-month or further advance-billed basis as agreed, and either party may choose not to renew with written notice before the next billing period begins.

4. Taxes & Pricing

Unless explicitly stated otherwise in your quotation or invoice, all prices quoted are exclusive of GST and any other applicable taxes, which will be added at the prevailing rate at the time of invoicing.

5. Cancellation Policy

If a client wishes to cancel an ongoing project or service, written notice must be provided. Any advance or milestone payments already made are non-refundable and will not be credited or returned, regardless of how much work has been completed at the time of cancellation.

Any work completed up to the cancellation date remains chargeable in addition to amounts already paid, and outstanding invoices for work already performed remain payable.

6. Late Payment

Invoices not paid by their due date may be subject to a late payment charge. Uptech World reserves the right to pause ongoing work, delay delivery, or withhold access to deliverables, source files, or hosting/domain credentials until overdue payments are settled in full.

7. Client Responsibilities

Timely project delivery depends on the client providing necessary content, feedback, approvals, and access (e.g. hosting, domain, or account credentials) within a reasonable timeframe when requested.

Delays caused by late feedback, late content or asset delivery, or delayed approvals from the client will extend the original project timeline accordingly and are not the responsibility of Uptech World.

8. Project Delivery & Revisions

Delivery timelines are estimates and may vary depending on project complexity, client response times, and the scope of revisions requested. The number of revision rounds included is defined in your specific project agreement.

9. Warranty & Post-Launch Support

Unless otherwise stated in your project agreement, Uptech World provides a limited bug-fix warranty period of 15 days after launch, covering defects in functionality that existed at the time of delivery.

This warranty does not cover new feature requests, changes to the original agreed requirements, or issues caused by changes made by the client or third parties after launch. Ongoing support beyond this period is available under a separate maintenance plan.

10. Intellectual Property

Upon full payment for a project, ownership of the final delivered work (e.g. website code, designs, or software configuration created specifically for you) transfers to the client, unless otherwise agreed in writing. Uptech World retains the right to showcase completed work in its own portfolio, case studies, and marketing materials unless the client requests otherwise in writing.

Third-party assets used in a project (e.g. licensed stock photography, fonts, plugins, or software platforms) remain subject to their own respective licenses, and it is the client's responsibility to maintain any ongoing licenses required after project handover.

11. Website & Software Maintenance

Unless an active maintenance plan is in place, the client is responsible for the ongoing security, updates, and hosting of delivered websites or software after launch. Uptech World is not liable for issues arising from third-party hosting, plugin updates, or changes made by the client or other developers after project handover.

12. Confidentiality

Both parties agree to keep confidential any non-public business, technical, or financial information shared during the course of a project, and not disclose it to third parties without consent, except where required by law.

13. Limitation of Liability

Uptech World will make reasonable efforts to deliver high-quality, functional work, but does not guarantee specific business outcomes (such as search engine rankings, traffic volumes, or sales figures), since these depend on many factors outside our direct control.

To the maximum extent permitted by law, Uptech World shall not be liable for any indirect, incidental, or consequential damages arising from the use of our website or services, including but not limited to loss of business, revenue, or data.

14. Force Majeure

Uptech World shall not be held liable for any delay or failure to perform its obligations due to circumstances beyond its reasonable control, including but not limited to natural disasters, internet or power outages, government restrictions, or other unforeseeable events.

15. Third-Party Links

Our website may contain links to third-party websites (including client websites, partner tools, or resources). We are not responsible for the content, accuracy, or practices of any third-party websites linked from this site.

16. Termination

Either party may terminate an ongoing project agreement with written notice, subject to the specific terms agreed in the project proposal and the Cancellation Policy above. Any work completed and payments due up to the point of termination remain payable.

17. Governing Law & Jurisdiction

These Terms & Conditions are governed by the laws of India. Any dispute, claim, or legal proceeding arising out of or relating to these terms, our website, or any services provided by Uptech World shall be subject to the exclusive jurisdiction of the courts in Amritsar, Punjab, India. This applies regardless of where the client is located, and no other court or forum outside Amritsar shall have jurisdiction over such disputes.

18. Changes to These Terms

We may update these Terms & Conditions from time to time. Continued use of our website or services after changes are posted constitutes acceptance of the revised terms.
